Acquisition-method bridge

Working definition

A controlled acquisition-date schedule connecting consideration, previously held interests, noncontrolling interests, identifiable assets, assumed liabilities, measurement evidence, and the residual amount.

The acquisition-method bridge organizes the amounts recognized on the date an acquirer obtains control of a business. ASC 805-10-25-1 requires an acquirer to account for each business combination by applying the acquisition method. The bridge keeps consideration separate from the identifiable assets acquired and liabilities assumed.

First confirm the scope, accounting acquirer, and acquisition date. Then list cash, shares, contingent consideration, any previously held interest, and qualifying noncontrolling interest. In a separate section, list each identifiable asset and liability at its supported acquisition-date amount. Every fair-value line should name its evidence and owner. The final section computes goodwill or a preliminary bargain-purchase amount.

Suppose the acquirer transfers $900 cash and $100 of shares. Identifiable assets have a supplied fair value of $1,300 and assumed liabilities total $450. Identifiable net assets are $850, so the preliminary residual is $150 before any other required components. The schedule must still test whether an intangible, liability, tax effect, or noncontrolling interest was omitted.

Cash paid does not equal total consideration when shares or contingent payments are present. It also does not equal net cash reported as an investing outflow when acquired cash is included. This concept teaches a supplied, acquisition-date bridge. Valuation, tax allocation, measurement-period changes, and complex contingent consideration require specialist work.
