Mistaken idea “Calling every purchased set a business”

Mistaken reasoning: A specific error pattern that replaces the evidence required for business versus asset acquisition.

Updated Sep 11, 2026 Review due Nov 8, 2026

Why this is mistaken

A deal label does not establish that the acquired set is a business. Inventory the inputs, processes, outputs, workforce, contracts, and concentration evidence, then apply the current scope guidance. The correction documents the supplied or reviewed conclusion before calculating goodwill. If the set is an asset acquisition, cost allocation and transaction-cost treatment differ and goodwill does not arise.

Where to watch

When this mistake may appear

  • The contract calls it an acquisition, so goodwill is permitted.
