Consolidation-model triage identifies the applicable Topic 810 path before anyone builds a consolidated worksheet. The question is not simply whether one company owns more than half of another. ASC 810-10-15-3 describes the general consolidation scope, which includes both voting-interest and variable-interest considerations.
Begin with the reporting entity and the legal entity being evaluated. Check scope exceptions and specialized guidance. Determine whether the variable-interest-entity model must be considered before relying on voting rights. Record ownership, decision-making rights, economic exposure, related-party facts, kick-out rights, and agency relationships. A missing fact is an escalation item, not an invitation to assume a simple voting-interest case.
For example, an investor may own 45 percent of voting shares yet hold decision-making rights and economics that require a VIE analysis. Another investor may own 60 percent but lack control because substantive rights held by others change the conclusion. The percentages matter, but they do not replace the model.
Once a qualified reviewer supplies the control conclusion, this course proceeds to the worksheet mechanics. Combine like accounts, eliminate the parent's investment and subsidiary equity, remove internal balances and transactions, and present noncontrolling interest. Independent VIE determinations, multi-tier structures, deconsolidation, and changes in ownership remain outside this bridge.
