Participating preferred stock

Working definition

Preferred stock whose holders share in additional dividends or earnings beyond a stated preference under specified terms.

Participating preferred stock belongs in a dated, class-level equity analysis. Participating preferred stock receives its stated preference and may share in additional distributions under a formula. Record the participation base, rate, cap, and priority from the instrument because those terms can affect both dividends and EPS.

Apply it

Suppose preferred holders first receive $60,000 and then share in remaining dividends at one-half of the common per-share rate. The second allocation must follow that formula; the $60,000 preference does not settle the full distribution.

Review participating preferred stock against preferred stock. Reconcile participating preferred stock to participating security, the dated participating preferred stock evidence, and its final presentation.

Keep the boundary clear

A preferred class can participate for dividend allocation without receiving identical voting or liquidation rights. Topic 260 separately decides whether it is a participating security for EPS.
