Establish Topic 718 scope and grant date

Map recipient, exchange purpose, instrument, grant and service dates, classification, conditions, and supplied fair value before recognizing award cost.

Compensation register: 20,000 RSUs granted January 1

The supporting timeline says service began January 1, the compensation committee approved the terms January 8, employees received them January 10, and the final unit count depends on a three-year operating target. The bold register label is therefore a claim to test, not a grant-date conclusion. “RSU” likewise does not complete scope, classification, or measurement.

Start with the exchange

Document who receives the instrument and why:

  • employee service;
  • nonemployee goods or services used in operations;
  • consideration payable to a customer;
  • financing or investor return;
  • business-combination consideration;
  • a profit-sharing or other compensation arrangement; or
  • another transaction.

Topic 718 covers qualifying employee and nonemployee exchanges for goods or services. ASU 2018-07 aligned much nonemployee accounting with the employee model, but it did not sweep investor or customer instruments into one award bucket. ASU 2025-04 is a future-effective customer-award amendment and may not be applied by analogy to employee awards.

ASU 2024-01 adds current examples for profits interests and similar awards. It does not define a profits interest or make partnership legal form decisive. Evaluate all rights, settlement possibilities, and the relationship between value and the entity's shares.

Do not let a spreadsheet column labeled Grant Date decide the result. Tie the date to approvals, communications, terms, and current guidance.

Classify before selecting the measurement clock

An equity-classified award generally uses supplied grant-date fair value and is not remeasured solely because the share price changes. A liability-classified award is remeasured at each reporting date until settlement. Settlement alternatives, repurchase features, indexed-to-own-stock criteria, and who controls cash or share settlement can alter classification.

The course schedule consumes a supported classification. It cannot convert a management preference for equity into an accounting conclusion.

Treat fair value as an evidence packet

For a share award, the supplied share price may be observable but restrictions and terms still require analysis. For an option, preserve valuation method, share price, exercise price, expected term, volatility, risk-free rate, expected dividends, valuation date, and specialist review. The learner uses a supplied fair value so attention remains on accounting rather than producing a false option valuation from incomplete assumptions.

Open an award control card

Before recognizing cost, the card must identify recipient, exchange purpose, legal form, quantity, class, grant date, service inception, vesting terms, service/performance/market conditions, classification, supplied fair value, forfeiture policy, attribution policy, settlement terms, tax route, EPS participation, and disclosure owner.

If any field is unresolved, the award remains on the research register. A familiar award label and a signed compensation-committee memo do not make missing classification, valuation, or condition facts immaterial.
