Factoring of receivables

Working definition

A receivable-transfer arrangement with a factor that may provide collection, financing, servicing, credit-risk, holdback, and recourse features but does not by its label establish sale accounting.

Factoring transfers receivables to another party for cash, often with a fee, holdback, servicing arrangement, or recourse. The word “factoring” does not decide whether the accounting path is a sale or a secured borrowing.

Decide the path before computing the entry

Map the transferred interests, legal isolation, the factor's right to pledge or exchange them, retained effective control, repurchase terms, servicing, holdbacks, and recourse. Use all linked agreements. If the sale conditions are supported, remove the transferred assets and recognize the required retained interests and obligations. Otherwise, keep the receivables and record a borrowing.

Assume a supported sale transfers $100,000 of receivables with a $5,000 allowance. Cash is $92,000, a holdback asset is $5,000, recourse is $2,000, and transfer costs are $1,000. Net consideration is $94,000. Compared with the $95,000 net carrying amount, the loss is $1,000.

Preserve each component

Do not hide the holdback, recourse obligation, servicing right, or transfer cost inside one “factor fee.” Reconcile collections and settlements after the transfer.
